01. Service Engagement
These Terms of Service govern the specialized digital services provided by Codenosys. By engaging our services, you agree to the technical and strategic protocols outlined in this master agreement.
02. Payment Protocols
Services are billed based on project milestones defined in your specific Statement of Work (SOW). We require a non-refundable commencement fee before technical architecture begins.
- Invoices are due within 7 days of issuance.
- Late payments may result in a 5% monthly service fee.
- Project suspension occurs if payments are delayed beyond 14 days.
03. Intellectual Property Transfer
Codenosys retains full ownership of all code, designs, and assets until the final project balance is cleared. Upon receipt of final payment, we grant a worldwide, exclusive license to the client for the specific deliverables produced.
04. Client Obligations
To maintain our high-performance standards, clients must provide necessary feedback and assets within 48 hours of request. Delays in client input may result in a rescheduling of the technical roadmap.
05. Confidentiality
Both parties agree to protect proprietary information, including technical architectures, business strategies, and trade secrets, during and after the term of engagement.
06. Limitation of Liability
Codenosys's total liability for any claim arising out of our services shall not exceed the total amount paid by the client for the specific project milestone in question.
07. Termination
Either party may terminate the agreement with 14 days' written notice. Upon termination, the client is responsible for payment for all work completed up to the termination date.
08. Governing Law
This agreement is governed by the laws of Rajasthan, India. Any disputes shall be resolved through arbitration in Ajmer, Rajasthan.
