01. Purpose & Guiding Principles

Codenosys operates as a specialized software engineering laboratory delivering bespoke digital products, custom SaaS architectures, multi-tenant databases, PWAs, and targeted performance growth campaigns. Unlike standardized off-the-shelf software licenses, custom engineering involves immediate, irreversible dedication of senior architectural time, infrastructure resources, and development hours.

This Refund and Cancellation Policy outlines transparent, fair, and statutory commercial standards pursuant to the Consumer Protection (E-Commerce) Rules, 2020 and international commercial contracting conventions.

02. Architectural Discovery & Commencement Deposits

To commence any bespoke engineering engagement, Codenosys requires a non-refundable commencement deposit (typically 30% to 50% of the total Statement of Work value):

  • Allocation of Deposit: The deposit covers initial architectural roadmapping, database schema design, wireframing, UX discovery, and repository initialization.
  • Non-Refundable Status: Once discovery sprint activities commence or code repositories are provisioned, the commencement deposit is 100% non-refundable under any circumstances.

03. Milestone-Based Project Cancellation

Projects are segmented into distinct milestones (e.g., Milestone 1: UI/UX Sign-off; Milestone 2: Backend/API Core; Milestone 3: Staging Integration; Milestone 4: Production Handover). If the Client terminates a project prior to completion:

  • Completed Milestones: Any milestone formally approved or deemed accepted pursuant to the 7-day review window in our Terms of Service is strictly non-refundable.
  • In-Progress Milestone Proration: For a milestone terminated mid-sprint, Codenosys will calculate the hours invested and deliverables generated up to the date of formal cancellation notice. The Client will be invoiced strictly for the prorated work completed. Any excess funds remaining from advance milestone disbursements shall be refunded.
  • Deliverables Release: Work-in-progress code files and visual assets corresponding strictly to paid and cleared milestones will be delivered to the Client. No intellectual property is transferred for unpaid or refunded segments.

04. Monthly Retainers & Growth Services

For ongoing monthly service contracts (such as dedicated SEO, Performance Ads management, server maintenance, or developer retainers):

  • Cancellation Notice: Retainer contracts may be cancelled by either party with a minimum of fifteen (15) calendar days' written notice prior to the commencement of the subsequent monthly billing cycle.
  • Current Billing Cycle: Retainer fees for the currently active month are non-refundable once the cycle begins, as marketing budgets, developer capacity, and server slots are committed in advance.

05. Dormant & Paused Projects

Client delays significantly disrupt agency capacity planning. The following rules govern project dormancy:

  • Thirty (30) Days Inactivity: If a project is halted due to a lack of client feedback, missing content, or delayed third-party credentials for more than thirty (30) consecutive days, the project shall be classified as "Dormant".
  • Ninety (90) Days Inactivity: If dormancy extends beyond ninety (90) calendar days, Codenosys reserves the right to terminate the contract. All previously disbursed fees are forfeited as liquidated damages for blocked engineering capacity, and project reactivation will require a new Statement of Work at current hourly rates.

06. Defect Remediation vs. Monetary Refunds

If the Client identifies defects, bugs, or functional non-conformities upon delivery:

  • The Client's sole and exclusive initial remedy is the Thirty (30) Day Bug-Fix Warranty detailed in Section 07 of our Terms of Service.
  • Codenosys shall be afforded a commercially reasonable opportunity to investigate and rectify verifiable non-conformities that breach the written SOW specifications at zero additional cost to the Client. A refund shall only be contemplated if Codenosys formally admits in writing that a critical, agreed specification cannot technically be delivered.

07. Anti-Chargeback & Dispute Escalation Protocol

We pride ourselves on transparent, executive-level communication and mutually fair resolutions:

  • Mandatory Dispute Notice: The Client agrees that prior to initiating any payment card dispute, bank reversal, or payment gateway chargeback (via Stripe, Razorpay, PayPal, or credit card issuers), the Client shall submit a formal written Dispute Notice to hello@codenosys.in and engage in a mandatory fourteen (14) calendar day amicable negotiation period with our executive team.
  • Fraudulent Chargebacks: Initiating a payment dispute without adhering to this protocol constitutes a material breach of contract. Codenosys reserves the right to immediately suspend all cloud infrastructure, revoke staging access, reclaim deployed repositories, and file counter-claims for collection fees, bank dispute penalties, and damages in the competent courts of Ajmer, Rajasthan, India.

08. Refund Methods & Processing Timelines

Where a monetary refund is formally approved in writing by Codenosys:

  • Processing Window: Refunds are processed within seven (7) to ten (10) business days from formal written approval.
  • Original Payment Method: Refunds are disbursed exclusively to the original bank account, card, or payment gateway account utilized for the transaction.
  • Deductions: Non-refundable third-party transaction fees, currency conversion charges, and payment gateway settlement levies assessed by financial institutions will be deducted from the gross refunded amount.

09. Governing Law & Dispute Jurisdiction

This Refund and Cancellation Policy shall be governed by, construed, and enforced in accordance with the substantive laws of India. Any disputes, arbitrations, or legal proceedings relating hereto shall be subject to the exclusive jurisdiction of the competent courts located in Ajmer, Rajasthan, India.
